I hereby nominate and/or appoint Joseph Herd, Alisa Henderson and Carl Florio to vote as my proxy on matters concerning the club. I further appoint any or all of them my true and lawful attorney for all matters concerning the club, with full power of substitution for me and in my name, to vote as my proxy at the Annual Meeting of Members of AAA Hudson Valley; to be held on Wednesday, May 20, 2026 at 5:00 PM at the Club Headquarters at 618 Delaware Avenue, Albany, New York; and at any adjournments thereof, upon any and all matters which may be presented, considered and voted upon at said meetings, including the election of directors, as full and with like effect as I might or could have done if personally present, hereby ratifying and confirming all that my said attorney may do in my name and stead.

Consistent with New York State law, the Board of Directors, on October 20, 2025, revised Article VII, Section 5 of the Club’s Bylaws to clarify that, whenever the Bylaws require notice to members, such notice may be provided by email as well as other previously described methods. The text of the change is provided below (new language is underlined)
 
“Section 5. Whenever under the provisions of the Bylaws notice is required to be given to any member, it may be given personally, or by email, or by mail, or by publication in a newspaper in the county in which the headquarters is located once a week for three successive weeks preceding the meeting. A notice by mail may be given by depositing the same in a post office or other depository maintained by the government of the United States for the depositing of mail, addressed to the member at such address, as appears in the records of the Club, in a prepaid wrapper. A mail notice is deemed given at the time when so deposited.”
